1. Acceptance of Terms
By accessing or using OpenHelm ("Service" or "Software"), you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have read and understood these Terms, and agree to be bound by them.
If you are using OpenHelm on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Software License
2.1 Community Tier (Free)
The Community tier of OpenHelm is licensed under the Business Source License 1.1 (BSL 1.1). Under this license, you may use the software for personal use, open-source projects, and evaluation. You may not use it for commercial deployment as a hosted service or as part of a competing product without a commercial license.
Each version of OpenHelm automatically converts to the Apache License 2.0 four (4) years after its release date, at which point it becomes fully open source.
2.2 Business Tier
A Business tier subscription grants you a commercial license to use OpenHelm for internal business purposes, including self-hosted deployment for your team. This license is non-transferable and non-sublicensable.
2.3 Cloud Tier
A Cloud tier subscription grants you access to OpenHelm's managed cloud execution service. The Cloud tier includes the Business commercial license for the duration of your subscription.
2.4 Restrictions
Regardless of tier, you may not:
- Offer OpenHelm as a hosted or managed service to third parties without a separate reseller agreement
- Remove or alter copyright notices or license identifiers in the source code
- Use OpenHelm to build a product that competes directly with OpenHelm
- Reverse engineer or decompile any compiled components of the Software
3. Accounts & Registration
Business and Cloud tiers require account registration. You agree to provide accurate, complete information and to keep it updated. You are responsible for all activity under your account.
You must safeguard your account credentials. Notify us immediately at if you believe your account has been compromised.
One account per person. You may not share accounts or create accounts on behalf of others without their consent.
4. Acceptable Use
You agree not to use OpenHelm to:
- Violate any applicable law or regulation
- Generate, distribute, or store malware, spyware, or other malicious code
- Access systems or data without authorization
- Conduct denial-of-service attacks or disrupt services
- Scrape data from websites in violation of their terms of service
- Infringe the intellectual property rights of others
- Process personal data of EU/EEA residents in violation of GDPR
We reserve the right to suspend or terminate accounts that violate these restrictions.
5. Payment & Billing
Business and Cloud tier subscriptions are billed monthly or annually, depending on your chosen plan. Prices are in USD and exclude applicable taxes unless stated otherwise.
Subscriptions renew automatically until cancelled. You may cancel at any time; your access continues until the end of the current billing period. We do not provide prorated refunds for mid-period cancellations, except where required by law.
If a payment fails, we will retry for up to 7 days before suspending access. We will notify you before suspension.
Prices may change with 30 days' notice. Existing subscribers are protected from price increases for the remainder of their current annual term.
6. Intellectual Property
OpenHelm, its logo, and all associated trademarks are the property of the OpenHelm team. The source code is licensed (not sold) to you under the terms described in Section 2.
You retain all rights to code you create using OpenHelm, including code generated by Claude Code working on your behalf. OpenHelm does not claim any rights to your projects or their outputs.
If you contribute code to the OpenHelm project (e.g., via pull request), you grant us a perpetual, irrevocable, royalty-free license to use your contribution under the same terms as the project's license.
7. Disclaimer of Warranties
OpenHelm is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Software will be error-free, that defects will be corrected, or that the Software is free of viruses or other harmful components. We do not guarantee that AI-generated code produced via Claude Code will be correct, secure, or fit for any particular purpose. You are responsible for reviewing and testing all outputs.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OpenHelm be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from your use or inability to use the Service.
Our total liability to you for any claims arising from these Terms or your use of OpenHelm shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow certain liability exclusions. In those jurisdictions, our liability is limited to the minimum permitted by law.
9. Termination
You may stop using OpenHelm and cancel your subscription at any time. Cancellation instructions are available in your account settings.
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we are required to do so by law. We will provide notice where feasible.
Upon termination, your license to use the Software ends. Sections covering intellectual property, disclaimer of warranties, limitation of liability, and governing law survive termination.
10. Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Disputes shall be resolved in the courts of England and Wales, except where a different forum is required by applicable consumer protection law in your jurisdiction.
11. Changes to Terms
We may update these Terms from time to time. For material changes, we will notify registered users by email at least 14 days before the changes take effect. Your continued use of OpenHelm after the effective date constitutes acceptance of the revised Terms.
If you disagree with a material change, you may cancel your subscription before the effective date for a prorated refund of any prepaid fees.
